Changes to the Supervisory Board of ENCAVIS AG as of 24 February 2025 Following Court Appointment of Five New Members Hamburg, 6 March 2025 – The Management Board and the former Chairman of the Supervisory Board of ENCAVIS AG (" Encavis " or the "Company") had submitted a request for the court appointment of five new members to the Supervisory Board. The Hamburg District Court (Commercial Register) granted this request with its decision on February 24, 2025, appointing the following Supervisory Board members:
The appointment of these Supervisory Board members will expire at the end of the next ordinary or extraordinary General Meeting (2025) of the Company, at which a new Supervisory Board is to be elected. The court appointment of the five Supervisory Board members follows the resignation of eight out of the nine previous members, namely Dr. Rolf Martin Schmitz (Chairman), Dr. Manfred Krüper (Deputy Chairman), Ayleen Oehmen-Görisch, Dr. Henning Kreke, Isabella Pfaller, Christine Scheel, Dr. Marcus Schenck, and Thorsten Testorp. This means that all members of the Supervisory Board, except for Prof. Dr. Fritz Vahrenholt, have stepped down from their positions. Dr. Christoph Husmann, Spokesperson of the Management Board, stated: "On behalf of the company, we thank the Supervisory Board for its dedicated commitment and valuable collaboration over the past years. With foresight, expertise, and strategic skill, the Board has significantly contributed to the positive development of Encavis . We wish the departing Supervisory Board members all the best for the future." "On behalf of the Supervisory Board, I would like to thank my colleagues for their trustful and constructive cooperation. Together, we have guided the company through a challenging time and set important strategic directions for the future. It has been both an honor and a pleasure to work with this Board," said former Chairman of the Supervisory Board Dr. Rolf Martin Schmitz. As a result, the Company's Supervisory Board currently consists of the following six members: Marco Fontana, Boris Scukanec Hopinski, Tobias Krauss, Dr. Johannes Teyssen, Prof. Dr. Martin Viessmann, and Prof. Dr. Fritz Vahrenholt. At its constitutive meeting on March 6, 2025, the Supervisory Board elected Dr. Johannes Teyssen as Chairman of the Supervisory Board of the company. Marco Fontana was elected as Deputy Chairman of the Supervisory Board.
The Encavis AG is a producer of electricity from Renewable Energies. As one of the leading independent power producers (IPP), ENCAVIS acquires and operates (onshore) wind farms and solar parks in twelve European countries.
